Terms & Conditions

The Customer Service Agreement and Contract governing all DIPVTEL VoIP telecommunications services and equipment.

Description of Services

DIPVTEL agrees to provide, and the Customer agrees to purchase, Voice over Internet Protocol telecommunications services and equipment as detailed in the applicable service addendum. Fees for service and prices for goods are set forth in that addendum. After the initial term, price increases may be given with thirty (30) days' notice.

Prices, Fees & Payment Terms

Payment is due monthly unless otherwise agreed in writing. DIPVTEL reserves the right to charge processing fees for billing unless payment is made by credit card. Failure to maintain a valid payment authorization on file may result in service interruption for non-payment.

Business Use, Resale Prohibition & Lawful Use

Business Plan customers may not resell or transfer the Service or Equipment without DIPVTEL's prior written permission, and may not use the Service for auto-dialing, continuous or extensive call forwarding, telemarketing, or fax broadcasting. Customers agree to use the Service only for lawful purposes; DIPVTEL may terminate Service immediately for any violation, and the customer remains liable for all use of the Service and Equipment.

DIPVTEL does not presently offer or support the Service to customers located outside the United States, and use of the Equipment abroad is at the customer's own risk.

Emergency Services — 911 Dialing

DIPVTEL equipment and services do not support 911 emergency dialing in the same manner as traditional wireline 911 service. Customers must notify any user of the Service of these limitations and post warning labels on or near every device where the Service may be used. For each phone number used with the Service, the customer must register the physical location where it is used. If you move Equipment to a new location and fail to register it, 911 calls will route to an emergency center near your old location — registration of a new location may take up to a week to take effect.

911 dialing will not function during a power failure, internet outage, or suspension/termination of your DIPVTEL account, broadband, or ISP service. There may also be greater network congestion or reduced routing speed for 911 dialing over VoIP compared with traditional telephone networks. If you are uncomfortable with these limitations, maintain an alternate means of accessing 911 or E911 services.

Service Outages, Number Portability & Termination

DIPVTEL reserves the right to suspend or terminate Service at its discretion. If terminated without a stated reason, the customer is responsible only for charges through the termination date. If terminated for cause (violation of this Agreement or improper use), the customer remains responsible for the full month's charges through the end of the current term, plus a disconnect fee.

Upon request, DIPVTEL will attempt to port your current number into our system, and — provided your account is paid in full — release a ported number to your new provider upon termination. DIPVTEL may refuse to import a number if it lacks the infrastructure to support it.

Customer acknowledges the Service is not equivalent to traditional telephone service and may be subject to different regulatory treatment, which may limit rights of redress before Federal and State regulatory agencies. The Service may also be incompatible with home/business security systems, certain broadband or cable modem services, satellite TV systems, fax machines, or medical monitoring devices.

Warranty, Liability Limitations & Indemnification

DIPVTEL is not liable for delays or failures caused by underlying carriers, equipment or network failure/upgrade, force majeure events, loss of customer power, or any cause beyond DIPVTEL's control — including inability to complete 911 dialing. DIPVTEL's liability for any failure shall never exceed the Service charges for the affected period, and DIPVTEL is not liable for incidental, indirect, or consequential damages of any kind.

The customer agrees to defend, indemnify, and hold DIPVTEL harmless from any claims relating to this Agreement, the Service (including 911 dialing), or the Equipment. DIPVTEL makes no warranties, express or implied, regarding merchantability or fitness of the Service or Equipment for a particular purpose, and does not warrant the Service will be free of failure, delay, interruption, or degradation of voice quality.

Governing Law & Resolution of Disputes

Disputes between the Customer and DIPVTEL shall first be attempted to be resolved through mediation. This Agreement is governed by the law of the state in which the Customer's Service resides, with venue in the applicable Circuit Court or United States District Court. Any claim must be filed within one (1) year after it arose, or it is forever barred. This Agreement, together with DIPVTEL's published rates, constitutes the entire agreement between the parties and supersedes all prior agreements.

Accounts past due are subject to collection and may be reported to a credit reporting company. If any part of this Agreement is found invalid, all remaining parts continue in full force and effect.
